L. William Caraccio
Senior Vice President
General Counsel and Secretary

A co-founder of RMI Corporation, Mr. Caraccio is responsible for all aspects of the company's worldwide legal affairs, including corporate governance and securities law compliance;  intellectual property protection; equity and debt financings; commercial transaction, technology licensing and strategic partnering agreements; merger and acquisition transactions; employment agreements and stock incentive plans; litigation management; and U.S. and international regulatory compliance. Prior to RMI, Mr. Caraccio was a Partner in the Silicon Valley office of Pillsbury Madison & Sutro LLP (now Pillsbury Winthrop LLP). At Pillsbury, Mr. Caraccio practiced in the Corporate, Securities and Technologies transactions group and served as co-leader of the firm's Technology: Internet, Communications, Computers and Data industry group. Mr. Caraccio began his legal career in the New York City office of Gibson, Dunn & Crutcher LLP, where he focused on corporate M&A, equity and debt financing transactions.

Mr. Caraccio graduated from U.C. Berkeley, Boalt Hall School of Law, where he was Associate Editor of the California Law Review, and received his B.A. from the U.C. Irvine. He is a member of the California and New York state bars, the American Bar Association (Business Law and IP Law sections), and the Santa Clara County Bar Association. He has lectured and published articles on various legal aspects of corporate finance and governance.
